What does it mean to Dissolve a New Hampshire LLC?

The process of Legally Closing a LLC in New Hampshire is called Dissolution.  After a New Hampshire LLC has been Dissolved, it ceases to be Legally Active in the New Hampshire Secretary of State's records and may no longer Legally conduct business in the state of New Hampshire.

A New Hampshire LLC is created when the NH Secretary of State approves the Formation Documents - the Articles of Organization.  A record of the New Hampshire LLC is added to the list of LLCs which have officially registered with the New Hampshire Secretary of State.  Once a LLC is registered with the New Hampshire Secretary of State, that LLC immediately has both reporting and tax obligations which incur penalties if the obligations are not met by the required deadlines.

If you've registered a New Hampshire LLC with the New Hampshire Secretary of State and want to cease business activities you have to let the NH Secretary of State know that you intend to close your company.  Only after the NH Secretary of State has made sure that all of the obligations of the New Hampshire LLC have been fulfilled will the Secretary of State approve of the closure of the company.

When the New Hampshire Secretary of State approves the closing of a NH LLC, that New Hampshire LLC is said to be Dissolved.  The process of Dissolving a New Hampshire LLC is called New Hampshire LLC Dissolution.

Before making any distributions of assets to any LLC Members or LLC Managers upon the winding up of a New Hampshire LLC that NH LLC must first obtain a Certificate of Dissolution from the New Hampshire Department of Revenue.

A Dissolved New Hampshire LLC continues its existence as a NH Limited Liability Company, but, on and after its Dissolution, the NH LLC may not carry on any business or other activity except that which is necessary to wind up and liquidate its business and internal affairs.
