HOW TO LEGALLY CLOSE A CORPORATION IN ALASKA

What does it mean to Dissolve an Alaska Corporation?

The process of Legally Closing a Corporation in Alaska is called Dissolution.  After an Alaska Corporation has been Dissolved, it ceases to be Legally Active in the Alaska Division of Corporations's records and may no longer Legally conduct business in the state of Alaska.

An Alaska Corporation is created when the AK Division of Corporations approves the Formation Documents - Articles of Incorporation.  A record of the Alaska Corporation is added to the list of Corporations which have officially registered with the Alaska Division of Corporations.  Once a Corporation is registered with the Alaska Division of Corporations, that Corporation immediately has both reporting and tax obligations which incur penalties if the obligations are not met by the required deadlines.

If you've registered an Alaska Corporation with the Alaska Division of Corporations and want to cease business activities you have to let the AK Division of Corporations know that you intend to close your company.  Only after the AK Division of Corporations has made sure that all of the obligations of the Alaska Corporation have been fulfilled will the Division of Corporations approve of the closure of the company.

When the Alaska Division of Corporations approves the closing of an AK Corporation, that Alaska Corporation is said to be Dissolved.  The process of Dissolving an Alaska Corporation is called Alaska Corporation Dissolution.

The Alaska Division of Corporations will not approve the Dissolution of an Alaska Corporation if the AK Corporation's current Biennial Reports is due.
