A Maryland Good Standing Certificate is issued by the Maryland Department of Assessments and Taxation and is often required for loans, to renew business licenses, or for tax or other business purposes in the state of Maryland or in any other state.

A Maryland Certificate of Good Standing is evidence that your Maryland business franchise - your Maryland Corporation, LLC or LP - is in Existence, is authorized to transact business in the state of Maryland, and complies with all state of Maryland business requirements and therefore is in "Good Standing" in the state of Maryland.

Also known as a Maryland Certificate of Existence, a Maryland Certificate of Status or a Maryland Certificate of Authority, a Maryland Good Standing Certificate is a one page document which looks like a letter and bears the seal of the state of Maryland Department of Assessments and Taxation. A Maryland Good Standing Certificate is provided by the Maryland Department of Assessments and Taxation and is conclusive evidence of the existence of your Maryland business franchise. For example, a Corporation registered in the state of California that plans to do business in the state of Maryland is a "Domestic Corporation" in California and a "Foreign Corporation" in the state of Maryland.

All states require you to register as a Foreign Corporation with a state agency, usually the Secretary of State, in order to do business in their state.  In order to register as a Foreign Corporation in any state you must provide evidence that you are registered and are in Good Standing in another state as a Domestic Corporation or LLC.  This evidence is a Certificate of Good Standing from the state in which your Corporation or LLC was originally formed.

A Maryland Good Standing Certificate is legal and official proof of Good Standing from the Maryland Department of Assessments and Taxation.

If your Corporation, LLC or LP falls out of Good Standing with the MD Department of Assessments and Taxation it is technically illegal for your company to do business in the state of Maryland or any other state. This could lead to the piercing of the corporate veil and make the owners of the Maryland business liable for penalties and law suits.

In order to get back into Good Standing you will have to pay a Reinstatement Fee.

The cost to Reinstate a Maryland Company depends on the exactly why the Corporation, LLC or LP is not in Good Standing. In some cases the fees for reinstatement of a Maryland Company may be more expensive that those for walking away from the business and then creating an entirely new company.

A Maryland Good Standing Certificate is issued by the Maryland Department of Assessments and Taxation for business entities that have registered with the state of Maryland.  A Sole Proprietorship or DBA is not normally registered with the Maryland Department of Assessments and Taxation so a Maryland Certificate of Good Standing cannot be issued for them.
